How we helped a client avoid losses and protect itself against a partner’s excessive demands

The law firm LEX successfully resolved a complex dispute between our client—a company providing international freight forwarding services—and its logistics partner.

The crux of the problem:

Our client provided comprehensive services for shipping and delivering goods to various countries. He received and packed the shipments, while delivery to the final destination was handled by a logistics partner under a freight forwarding agreement that specified the rates.

The problem arose when the partner failed to fulfill its obligations: several shipments were detained at customs in another country, which caused customer dissatisfaction. To protect its reputation, our client purchased new goods at its own expense and reshipped them. The parties agreed that the cost of these goods would be offset against the payment for the partner’s services.

However, the partner breached the terms of the contract and:

•Issued invoices for services at inflated rates that were not provided for in the contract.

•Filed a lawsuit against our client, seeking to recover the amounts owed on these unjustified invoices.

Our Solution:

During the court proceedings, we filed a counterclaim and proved that the freight forwarding contract was null and void because it violated the laws of the Kyrgyz Republic.

On this basis, the opposing party could not claim the amount specified in the complaint.

Realizing that their chances of winning were minimal, the other party agreed to negotiate, and we succeeded in reaching a settlement agreement that took into account the interests of both parties.

Result:

•Our client avoided unfair financial losses.

•Fair terms of cooperation were restored.

•The dispute was resolved quickly, without going through the courts.
